This Claim Support Services Agreement (the “Agreement”) is entered into by Claim Recovery Partners (“CRP”) and the recovery specialist or company named below (“Specialist”). Fields marked * are required.

1. Purpose and relationship

Specialist may engage CRP to provide behind-the-scenes administrative, research, coordination, and case-support services for difficult recovery matters. CRP acts as an independent business-to-business service provider, not as an owner of Specialist’s client relationships or claims. Neither party is the other’s employee, partner, fiduciary, agent for signing purposes, or joint venturer. Each remains responsible for its own business and compliance obligations.

2. Services and case authorization

Services may include public-record and title research, claim documentation review, heir and estate information organization, workflow planning, document collection, status tracking, and coordination with licensed attorneys or other professionals. Only services identified in a mutually signed Case Authorization (Exhibit A) are included. CRP will not file pleadings, represent claimants in court, give legal advice, negotiate legal rights, or perform any work reserved by law to a licensed professional. Any legal representation requires a separate engagement between the authorized client and independent licensed counsel.

3. Specialist retains the client and the claim

Specialist retains the existing relationship with its claimant/client, its independently obtained leads, its underlying client agreements, and control over client communications and business decisions. CRP will not independently solicit, contract with, accept an assignment from, or seek payment directly from a claimant first introduced by Specialist through a referred case, except with Specialist’s prior written approval or where required by law. CRP makes no claim to Specialist’s contingency fee, claimant funds, or proceeds of the underlying claim.

4. Fees and payment

The service fee, payment trigger, and any approved case expenses will be stated in Exhibit A before work begins. Unless Exhibit A expressly states otherwise, no fee is owed simply for submitting a case; CRP may invoice for work only as authorized in Exhibit A. Specialist—not the claimant—is responsible for CRP’s fees. Fees are not automatically contingent on court approval or recovery unless specifically selected in Exhibit A and permitted by applicable law. No fee may be deducted from claimant funds or a trust account without lawful authorization and appropriate documentation. CRP will not receive or control claimant funds. Attorney, filing, probate, certified-copy, and other third-party costs are separate and require Specialist’s prior written approval. Undisputed invoices are due within ten (10) calendar days after the agreed payment trigger. The parties will resolve disputed charges in good faith before collection action.

5. Attorney involvement and compliance

When a case requires probate, litigation, legal opinions, or court filings, an appropriately licensed attorney must determine the legal strategy and scope. Attorney selection and fees require the appropriate client authorization. Neither party may share legal fees, pay for referrals, or undertake claims recovery, debt collection, investigator, title, or legal services in any jurisdiction where doing so would violate governing law. Each party is responsible for confirming required registrations, licenses, disclosures, claimant consents, contract limits, and state-specific rules before work proceeds.

6. Confidentiality, client data, and records

Both parties will protect nonpublic case, client, financial, and business information; use it only to perform this Agreement; restrict access to personnel and approved professionals who need it; and use reasonable safeguards for transmission and storage. Specialist represents it has authority and any necessary consents to share claimant information with CRP. Neither party will sell or use the other’s client data to market unrelated services. Upon written request or termination, each party will return or securely delete non-required confidential materials, subject to record-retention duties. A party discovering a material unauthorized disclosure will notify the other promptly and cooperate in remediation.

7. Non-circumvention and communications

For cases covered by a signed Exhibit A, CRP will not knowingly bypass Specialist to secure the same claimant or claim for itself during the engagement and for twelve (12) months after its conclusion. Specialist will not knowingly bypass CRP to avoid a documented, earned Exhibit A fee by using CRP’s confidential work product through another provider. These restrictions do not cover relationships documented as preexisting, public information independently developed, or actions required by law. Unless otherwise agreed in writing, substantive claimant communications are handled by Specialist or authorized counsel; CRP may contact a claimant only with prior written permission.

8. Work product and updates

CRP will provide reasonable status updates and deliver the agreed research summaries, checklists, and case materials. Once Specialist has paid all fees due for a case, Specialist may use the deliverables for that case and its claimant. CRP retains ownership of its preexisting templates, methods, tools, and know-how, but may not disclose Specialist’s confidential information in doing so. Specialist remains responsible for independently reviewing submitted facts and documents before relying on them.

9. No guarantee; limitations

CRP does not guarantee the existence, amount, ownership, timing, court approval, collection, or distribution of surplus or other funds. Third-party records may be incomplete or incorrect. Neither party is liable to the other for indirect, special, consequential, or lost-profit damages arising from this Agreement, except to the extent prohibited by law or arising from fraud, willful misconduct, or misuse of confidential information. Nothing limits obligations to pay earned fees or liability that cannot legally be limited.

10. Term, termination, and open matters

This Agreement begins on the Effective Date and continues until either party ends it with fifteen (15) days’ written notice. Either party may terminate immediately for material breach not cured within five (5) business days after written notice, unlawful activity, or a serious confidentiality incident. Termination does not cancel fees already earned, authorized noncancelable expenses, confidentiality duties, or agreed rights in active cases. The parties will document the status and reasonable handoff of each open Exhibit A when services end.

11. Disputes and governing law

The parties will first attempt in good faith to resolve a dispute through written notice and discussion within fifteen (15) days. If unresolved, the laws of the State of govern this Agreement, without regard to conflict-of-law principles, and disputes may be brought in courts with proper jurisdiction in County, , unless mandatory law requires otherwise. Neither party waives applicable statutory protections.

12. General terms

This Agreement and signed Case Authorizations are the entire agreement and replace prior discussions concerning these services. Changes must be in writing and accepted by both parties, including by electronic signature. Neither party may bind the other. If a term is unenforceable, remaining terms survive. Notices may be sent to the email addresses identified below, with acknowledgment of receipt. Each signer represents authority to bind its respective business. Electronic counterparts are acceptable.
